Facilitator/Instructor Terms & Conditions

These Terms and Conditions (these "Terms") are an agreement between you and Childhelp, Inc. ("Childhelp"). They govern your access to and use of Childhelp's prevention programs made available through Childhelp's online portal, including Childhelp Connect to Protect Kids and Childhelp Speak Up Be Safe (each a "Program"), and all curriculum, presentations, guides, videos, handouts, and other content (the "Materials"), as a Certified Facilitator or Certified Instructor. You must accept these Terms electronically before accessing the portal. Certification is specific to each Program and to you personally: certification in one Program does not authorize you to deliver or train for the other, and your certification cannot be transferred to anyone else. These Terms are between you and Childhelp personally and accepting them does not require you to have authority to bind any organization. If you access a Program through a school, child advocacy center, or other organization, your organization's purchase and use of the Program are governed separately by Childhelp's Organization License Terms or its signed agreement with Childhelp.

1. Your License

In plain terms: You can download the Materials, prepare with them, teach with them online or offline in the area you serve, and hand out copies to the people you train. That is exactly what they are for.

Childhelp grants you a personal, non-transferable, non-exclusive license to access the portal, download the Materials for each Program in which you hold a current certification, and use them solely to prepare for and deliver that Program, for as long as your certification and your organization's subscription are active. This includes printing and distributing participant handouts, providing reference copies to the people you train as part of Program delivery, and presenting the Materials offline where internet access is unavailable. This license covers delivery of the Program only within the service area of the subscription or purchase your access comes through, as set in your organization's or lead organization's arrangement with Childhelp or, for independent facilitators, in your purchase. Delivery outside that area requires Childhelp's advance approval. If you were onboarded through a Childhelp lead organization, your Service Area is determined under that lead organization's arrangement with Childhelp. Childhelp owns the Materials; these Terms give you permission to use them, not ownership.

2. Customizing the Program

In plain terms: You can adapt the Program within the provided Guidelines, so the program and materials fit the needs of your community.

You may modify or customize the Materials only as permitted by the Customization and Co-Branding Guidelines for your Program (the "Guidelines"), available in the portal. These limits exist to protect the integrity and evidence base of the Program and to respect the needs of each community it serves. Any change beyond the Guidelines requires Childhelp's prior written approval. If you are unsure whether a use or change is permitted, ask Childhelp before proceeding.

3. What You May Not Do

In plain terms: Do not sell the Materials, post them on the public internet, remove Childhelp's name or logo, or use them to build something competing. If Childhelp finds any materials posted where it should not be, you will be notified that you must take it down within three business days.

You may not: sell, rent, or license the Materials to anyone; post the Materials to any public website, social media platform, or public repository; upload the Materials to a learning management system or shared drive outside your organization, or to your organization's own internal system without Childhelp's prior written approval; remove or alter Childhelp's name, logos, or attribution; use the Materials to create or contribute to a competing curriculum; share your login credentials; introduce viruses or other malicious code into the portal, or upload unlawful or infringing material to it; represent your modifications as Childhelp's work or yourself as Childhelp; or use the Materials after your access ends. If Childhelp or your organization notifies you that a copy of the Materials you posted or shared is somewhere these Terms do not cover, you must remove it or disable access to it within three (3) business days.

4. Ownership and Your Adaptations

In plain terms: Childhelp owns the Program. If you customize or improve it, those changes belong to Childhelp too, and you can keep using them in your own trainings.

The Programs, the Materials, and Childhelp's name and logos are and remain the sole property of Childhelp. If you create or contribute to any adaptation, modification, improvement, translation, localization, derivative work, or suggestion relating to a Program or the Materials, alone or with others (collectively, "Adaptations"), you hereby irrevocably assign to Childhelp all right, title, and interest in and to those Adaptations, including all intellectual property rights, and agree to sign any document Childhelp reasonably requests to confirm this, at Childhelp's expense. Childhelp will credit significant contributions where practical and you may use your Adaptations to deliver the Program under these Terms. This assignment covers your own rights in the Adaptations. If your employer or organization owns rights in work you create, its assignment of those rights to Childhelp is addressed in Childhelp's Organization License Terms or its agreement with Childhelp. Results of a research or evaluation study conducted under a separate written research agreement with Childhelp are governed by that agreement, not this Section.

5. Certification and Delivery Standards

In plain terms: Deliver the Program as intended and as you were trained, and work with your lead organization if you have one.

When you deliver the Program, deliver it consistent with your training and Childhelp's fidelity and quality standards, cooperate with reasonable quality reviews, and, if you were onboarded through a Childhelp lead organization, follow its onboarding, training, and support processes. Keeping your certification current keeps your portal access active.

6. Additional Terms for Certified Instructors

In plain terms: If you train facilitators, use Childhelp's current training materials, train only people you're authorized to train, and report the trainings you deliver.

If you are a Certified Instructor, these Terms apply to you together with the following: You may deliver certified facilitator trainings only using Childhelp's current training materials and certification standards, and only to individuals you are authorized to train through your organization, your lead organization's network, or Childhelp's written approval. You may not certify anyone outside that authorization, represent certification authority you do not hold, or train other instructors unless your instructor certification expressly includes it. Instructor certification is Program-specific. Report trainings delivered, facilitators trained, and other data as requested by Instructor policies. Any fees for training you provide are governed by your organization's or lead organization's arrangement with Childhelp.

7. Data, Participants, and Privacy

In plain terms: Report all data and feedback as requested. Never enter any minor's identifying information into Childhelp's systems, and protect the personal information of everyone you train.

You will report implementation data as requested by facilitator policies, such as trainings delivered, Program, grade level, and participant counts. Reporting is aggregate numbers only: never enter personally identifiable information about any minor into Childhelp's systems. Personal information about the people you train is confidential: use it only for Program delivery, share it only with people who need it for that purpose, and keep it only where your organization keeps information like it, never in Childhelp's systems and never in public or shared spaces. It is never for sale or for any use outside the Program. If personal information in your care is lost or exposed, tell your organization and Childhelp promptly so they can help. Your organization's privacy policies and applicable law also govern how you handle it.

8. Child Safety

In plain terms: Follow the law, including mandatory reporting laws. Nothing in these Terms should slow down or limit a report of suspected abuse.

You will comply with all applicable laws in delivering the Program, including mandatory reporting laws for suspected child abuse or neglect and any background screening required by law or by your organization. Report any safety concern immediately in accordance with law and your organization's policies and procedures. Nothing in these Terms limits, delays, or conditions any report you are required or permitted to make.

9. Your Account and Ending Access

In plain terms: Your login is yours alone. Access ends when your certification, subscription, or role does, or if these Terms are violated. When it ends, stop using the Materials; your participants may keep what you already gave them.

Your credentials are personal to you; keep them secure and tell Childhelp promptly if they are compromised. Your access ends when your certification lapses, your organization's subscription ends, your role changes, you separate from your organization, or Childhelp suspends or terminates access for a violation of these Terms, misuse of the Materials, or conduct endangering children or Program participants, which may be immediate in serious cases. Childhelp or your organization will notify you when your access ends, by portal message or email to your account address; losing the ability to log in is also notice that your access has ended. When your access ends, your authorization to deliver the Program and to use the Materials ends. Promptly delete or destroy all downloaded copies; Childhelp may ask you to confirm the deletion in writing. Program participants may keep handouts and materials you have already provided to them. Sections 3, 4, 7, 8, 9, 10, and 11 survive the end of these Terms.

10. Disclaimers and Liability

In plain terms: The Materials are provided as is. You are responsible for your own delivery of the Program.

THE MATERIALS AND THE PORTAL ARE PROVIDED AS IS AND AS AVAILABLE, AND CHILDHELP DISCLAIMS ALL OTHER WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. You are responsible for your own delivery of the Program. Neither you nor Childhelp is liable to the other for indirect, incidental, consequential, or punitive damages, and Childhelp's total liability under these Terms is limited to the amount paid to Childhelp for your organization's subscription in the twelve (12) months before the claim. This Section does not limit liability for misuse of Childhelp's intellectual property.

11. General

In plain terms: Childhelp may update these Terms and will tell you about updates upon portal login. Arizona law governs. If your organization has a signed agreement with Childhelp, that agreement wins if the two conflict.

Childhelp may update these Terms and the Guidelines from time to time and will present material changes to you upon your login to the portal; your continued use after notice is acceptance. These Terms, together with the Guidelines, are the entire agreement between you and Childhelp about your use of the portal and Materials and replace any earlier facilitator or instructor terms. If your organization or lead organization has a signed written agreement with Childhelp, or has accepted Childhelp's Organization License Terms, the order of precedence is: (a) the signed agreement, (b) the Organization License Terms, (c) these Terms, each controlling over the next to the extent of any conflict. If you access a Program independently of any organization, these Terms and the Guidelines alone govern your use. These Terms are governed by Arizona law, and any suit will be brought in the state or federal courts located in Maricopa County, Arizona. If any provision is unenforceable, the rest remains in effect. The italicized plain-language notes are for readability only and do not modify the operative terms.
